RELEASE OF LIABILITY AND ASSUMPTION OF RISK AGREEMENT 

This Release of Liability and Assumption of Risk Agreement ("Agreement") is entered into by the undersigned participant ("Participant") in connection with a promotional giveaway ("Giveaway") sponsored by Thirty Three Threads, Inc., a California corporation ("Sponsor"). 

1. No Purchase Necessary 
No purchase or payment is necessary to enter or win this Giveaway. A purchase does not increase the chances of winning. 

2. Eligibility 
This Giveaway is open only to legal residents of the United States who are at least eighteen (18) years of age at the time of entry. Void where prohibited by law. The person entering the Giveaway must be the individual who travels if selected as the winner. The prize is non-transferable and may not be assigned or substituted, except at the sole discretion of Sponsor and only if required due to circumstances beyond Sponsor’s control.

The Giveaway begins at 8:00 AM PST on June 11, 2025 and ends at 11:59 PM PST on July 9, 2025 (the "Entry Period").

6. Description of the Prize and Value 
The Prize consists of a trip to Thailand for two (2) people for eight (8) days and seven (7) nights, including round-trip airfare and hotel accommodations at Marriott’s Phuket Beach Club and a $500 gift card to taviactive.com, with an approximate retail value ("ARV") of $5,870. Both travelers must share the same hotel room. All airfare bookings shall be limited to major U.S. airports that are serviced by airlines within the One World or Star Alliance airline networks, subject to the sole discretion of Sponsor. The winner must provide Sponsor with a minimum of ninety (90) days' notice of their preferred travel window. Sponsor reserves the right to determine the specific travel dates within that window, based on availability and logistical considerations. Travel is subject to blackout dates from October 1 through March 1. The Prize must be fully used and travel completed by December 31, 2026. If the requested week is not available, Sponsor shall have the sole discretion to decline the proposed dates and request alternative options from the winner. All other expenses, including but not limited to meals, transportation within Thailand, taxi fares, airport transfers, travel insurance, personal expenses, incidental costs, fees, surcharges, and any applicable taxes, shall be the sole responsibility of the winner. The winner must also be able to provide a valid credit card at hotel check-in to cover any incidental charges. The guest must be at least eighteen (18) years of age and must sign a separate Release of Liability and Assumption of Risk Agreement before travel. Participant acknowledges and agrees that Sponsor shall not be responsible for any cost, charge, or obligation incurred by Participant in connection with claiming or utilizing the Prize other than the specified airfare and hotel accommodations. 

7. Winner Selection and Notification 
One (1) winner will be selected in a random drawing conducted by Sponsor from all eligible entries received. The drawing will take place on or about July 10, 2025. The winner will be notified by direct message on Instagram within five (5) business days of the drawing. If a potential winner does not respond within seventy-two (72) hours of notification, another winner may be selected. 

8. Assumption of Risk 
Participant understands and acknowledges that travel to and within Thailand involves inherent and unpredictable risks, including but not limited to personal injury, illness, permanent disability, emotional trauma, and death. These risks may result from, among other things, acts of God, weather, criminal activity, political unrest, acts of terrorism, exposure to infectious disease, foodborne illness, transportation accidents (including but not limited to air, ground, or water transport), third-party negligence, and the use of accommodations or services not under the direct control of Sponsor. Participant acknowledges that participation in travel and related activities may involve strenuous activity and unfamiliar environments. Participant voluntarily assumes all such risks, both known and unknown, and takes full responsibility for their own safety. Participant understands and agrees that Sponsor does not make any representation, warranty, or guarantee regarding the safety, quality, or fitness of any third-party provider of transportation, lodging, food, or other services related to the Prize. 

9. Release of Liability 
In consideration for the opportunity to participate in the Giveaway and receive the Prize, Participant, on behalf of themselves and their heirs, executors, and assigns, hereby voluntarily releases, discharges, waives, and covenants not to sue Sponsor, its parents, subsidiaries, affiliates, officers, directors, employees, agents, successors, assigns, and any third-party travel providers or contractors involved in the administration or fulfillment of the Prize, from and against any and all claims, demands, actions, losses, damages, liabilities, costs, or expenses (including attorneys' fees and costs), arising out of or in any way connected with the Giveaway or the Prize, including but not limited to any bodily injury, personal injury, emotional distress, illness, property damage, or death, whether arising from the ordinary negligence of the released parties or otherwise, to the fullest extent permitted by law. 

10. Waiver of California Civil Code Section 1542 
Participant expressly waives the provisions of California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known by them, would have materially affected their settlement with the debtor or released party." 

11. Indemnification 
Participant agrees to indemnify, defend, and hold harmless Sponsor from and against any and all claims, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to Participant's participation in the Giveaway, acceptance or use of the Prize, or breach of this Agreement. 

12. Tax Responsibility 
The winner is solely responsible for all applicable federal, state, and local taxes associated with the Prize. Sponsor may issue an IRS Form 1099 for any Prize valued over $600. 

13. Publicity Release 
Except where prohibited by law, acceptance of the Prize constitutes the winner's consent to Sponsor's use of the winner’s name, likeness, voice, biographical information, and entry for promotional purposes in any media, worldwide, without further payment or consideration. 

14. Privacy Policy 
Participant information submitted in connection with the Giveaway will be treated in accordance with Sponsor’s privacy policy, available at here. 

15. Governing Law and Jurisdiction 
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved exclusively in the state or federal courts located in San Diego County, California. 

16. Severability 
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

17. Binding Effect 
This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, legal representatives, successors, and assigns. 

18. Entire Agreement 
This Agreement constitutes the entire understanding between Participant and Sponsor concerning the subject matter hereof and supersedes all prior and contemporaneous communications, representations, or agreements, whether oral or written.
